Artist Music Submission & Broadcast Authorization Agreement

This Artist Music Submission & Broadcast Authorization Agreement (“Agreement”) is entered into by and between The Sorce Group, including all affiliated companies, subsidiaries, platforms, stations, media outlets, streaming services, promotional divisions, and representatives (collectively referred to as “The Sorce Group”), and the undersigned artist, musical group, representative, or rights holder (“Artist”).

1. Ownership & Authority

Artist hereby represents, warrants, and certifies that:

• Artist is the sole and lawful owner, creator, copyright holder, or authorized representative of all music, recordings, lyrics, compositions, masters, performances, artwork, and related materials submitted to The Sorce Group.

• Artist has full legal authority and unrestricted rights to grant the permissions contained within this Agreement.

• The submitted music and materials do not infringe upon any copyright, trademark, contractual obligation, publishing agreement, licensing agreement, or other rights of any third party.

2. Grant of Permission

Artist voluntarily grants The Sorce Group a non-exclusive, worldwide, royalty-free, fully authorized right and license to:

• Broadcast, stream, play, reproduce, promote, distribute, and publicly perform submitted music and related materials through internet radio, websites, mobile applications, social media platforms, podcasts, advertisements, promotional campaigns, live streams, archives, digital broadcasts, and any other current or future media platforms operated or affiliated with The Sorce Group.

• Use Artist’s name, stage name, likeness, logos, promotional photos, album artwork, and biographical information solely for promotional and broadcasting purposes connected to the submitted music.

3. No Compensation

Artist acknowledges and agrees that:

• Submission of music to The Sorce Group is voluntary.

• No monetary compensation, royalties, residuals, licensing fees, mechanical royalties, performance royalties, publishing payments, reimbursements, or other compensation of any kind shall be owed or paid by The Sorce Group to Artist now or in the future for the use, broadcast, promotion, or distribution of submitted materials.

• Artist waives any claim for payment or compensation arising from the authorized use of the submitted music by The Sorce Group.

4. Indemnification

Artist agrees to fully indemnify, defend, and hold harmless The Sorce Group, its owners, officers, employees, contractors, affiliates, successors, assigns, sponsors, partners, and representatives from and against any and all claims, lawsuits, liabilities, damages, losses, legal fees, costs, or disputes arising out of:

• Alleged copyright infringement,

• Unauthorized use claims,

• Ownership disputes,

• Publishing disputes,

• Royalty disputes,

• Trademark claims,

• Defamation claims,

• Or any other legal issue related to the submitted materials.

5. No Obligation to Broadcast

The Sorce Group shall have no obligation to broadcast, promote, distribute, or continue using any submitted music and reserves the right to reject, remove, edit, discontinue, or refuse any submission at its sole discretion.

6. Independent Relationship

Nothing contained in this Agreement shall be construed to create any partnership, joint venture, employment relationship, agency relationship, or exclusive agreement between Artist and The Sorce Group.

7. Binding Effect

This Agreement shall be legally binding upon Artist, Artist’s heirs, representatives, successors, assigns, agents, management, labels, and affiliates.

8. Governing Law

This Agreement shall be governed by and interpreted under the laws of the State of Texas, without regard to conflict of law principles.

9. Entire Agreement

This document constitutes the entire agreement between the parties regarding submitted music and supersedes all prior discussions, communications, or understandings, whether written or oral.
